REFUND AND CANCELLATION POLICY

This Refund and Cancellation Policy governs cancellations, refunds, and related matters concerning services provided by UperBit.

By purchasing or engaging any service from UperBit, you acknowledge and agree to this Policy.

1. Project Commencement

A minimum advance payment of fifty percent (50%) of the total agreed project value is required before work begins unless otherwise agreed in writing.

Work shall commence only after the required advance payment has been successfully received.

2. Client Requested Cancellation

Clients may request cancellation of a project at any time by contacting UperBit through approved communication channels.

If a project is cancelled after work has commenced, UperBit may retain up to twenty five percent (25%) of the total agreed project value to cover work performed, project planning, resource allocation, administrative expenses, and related costs.

Any remaining amount held by UperBit beyond such retention may be refunded where applicable.

3. Cancellation Before Work Begins

If a cancellation request is received before any work has commenced, UperBit may review the request and determine eligibility for a refund on a case by case basis.

Any processing fees, payment gateway fees, banking charges, or other non recoverable expenses may be deducted where applicable.

4. Project Termination Due to Illegal or Prohibited Content

UperBit does not knowingly work with:

  • Pirated software.
  • Cracked themes.
  • Cracked plugins.
  • Copyright infringing content.
  • Trademark infringing content.
  • Fraudulent content.
  • Unlawful content.

If a client provides such materials and fails to provide suitable replacement materials after being requested to do so, UperBit reserves the right to immediately suspend or terminate the project.

In such circumstances, UperBit may retain up to thirty percent (30%) of the total agreed project value.

Any remaining amount held by UperBit beyond such retention may be refunded where applicable.

5. Cancellation Due to Client Non Cooperation

Clients are expected to provide content, approvals, credentials, feedback, and other required information within a reasonable timeframe.

If a client remains unresponsive for thirty (30) consecutive days, the project may be placed on hold.

If a client remains unresponsive for sixty (60) consecutive days, UperBit may close the project.

Where project closure occurs due to prolonged client inactivity, any refund request shall be evaluated after considering work completed, resources allocated, administrative costs, and other project related expenses.

6. Force Majeure Events

UperBit shall not be liable for delays or interruptions caused by circumstances beyond its reasonable control, including but not limited to:

  • Natural disasters.
  • Floods.
  • Earthquakes.
  • Fires.
  • Pandemics.
  • Government actions.
  • Internet outages.
  • Power failures.
  • Hosting provider failures.
  • Data center outages.
  • Cyberattacks affecting infrastructure.
  • War.
  • Civil unrest.

If a project becomes impossible or impractical to continue due to a prolonged force majeure event, either party may request cancellation.

In such circumstances, UperBit may retain up to twenty five percent (25%) of the total agreed project value.

Any remaining amount held by UperBit beyond such retention may be refunded where applicable.

7. No Refunds for Approved and Completed Work

Once a project, project phase, design, feature, functionality, or deliverable has been reviewed and approved by the client, such approval shall constitute acceptance of the work.

Client dissatisfaction arising after prior approval shall not entitle the client to a refund for approved work already completed.

Requests for redesigns, redevelopments, additional features, or substantial modifications after approval may be treated as new work and may require additional payment.

8. No Refunds After Final Delivery

Upon successful completion, approval, and delivery of the agreed project, payments made for the project shall generally be non refundable.

This includes completed websites, online stores, logo designs, migrations, upgrades, and other completed deliverables.

9. Third Party Costs

Refunds shall not apply to costs incurred for third party products or services including but not limited to:

  • Domain registrations.
  • Hosting services.
  • Premium themes.
  • Premium plugins.
  • Paid software licenses.
  • API subscriptions.
  • Third party service fees.

Such expenses remain non refundable once incurred.

10. Refund Processing

Where a refund is approved, processing times may vary depending on:

  • Payment method.
  • Banking institutions.
  • Payment gateway providers.
  • Applicable financial regulations.

Refunds shall be issued through a method determined by UperBit where reasonably practicable.
